As outlined in the Company’s Notice of Annual General Meeting (NoM), which was released on 23 October 2026, a summary of the material terms of the agreement is as follows: • Fees: $8,333 per calendar month (to be split 50:50 between cash and performance rights (referenced as Director Fee Rights in the NoM) for the period from 1 November 2026 to 30 June 2027, subject to shareholder approval. Should shareholder approval not be received then all the Fees are payable in cash); • Term: the commencement date is 1 November 2026, and there is no fixed term. The agreement may be terminated by either party at any time with 14 days’ notice. Dr Kelly is an independent contractor.
